Terms & Conditions | ClaraTech Monitors OEM/ODM

Effective Date: July 2026

1. Scope of Agreement

These Terms and Conditions apply to business-to-business product sales, samples and OEM/ODM services supplied under the ClaraTech Monitors brand.

The legal Seller is the entity identified in the applicable quotation, Proforma Invoice or commercial invoice.

An order becomes binding only after it has been accepted by the Seller in writing and the required payment and technical approvals have been received.

In the event of inconsistency, the following order of priority applies:

  1. A separately signed agreement

  2. The applicable Proforma Invoice

  3. The final approved specification, drawing or sample

  4. These Terms and Conditions

Any conflicting terms contained in the Buyer’s Purchase Order apply only if expressly accepted by the Seller in writing.

Website content, product images, catalogs and general specifications are for reference only. The applicable Proforma Invoice and final approved specification govern each order.

2. Engineering and Customization

The Buyer is responsible for providing accurate drawings, dimensions, system requirements and other project information.

ClaraTech may review Buyer-provided drawings and technical information for manufacturing feasibility and cabinet-fit assessment. The Buyer remains responsible for final validation of the product in the actual cabinet, system and operating environment.

Where a product conforms to Buyer-approved drawings or specifications, ClaraTech is not responsible for fitment or integration problems caused by inaccurate, incomplete or subsequently changed Buyer information.

Sample configuration, price and lead time are confirmed after the final requirements and material availability have been reviewed.

Volume production begins after the required drawing, specification or sample approvals have been completed.

3. Components and Product Changes

LCD panels, driver boards, touch controllers and other components may be revised, discontinued or become unavailable due to circumstances outside ClaraTech’s reasonable control.

Where necessary and commercially practicable, ClaraTech may propose a suitable replacement for Buyer review.

A locked Bill of Materials, fixed Product Change Notice period or guaranteed component-supply period applies only when expressly agreed in a separate written agreement.

4. Quality Control and Claims

Inspection and testing requirements are determined by the applicable Proforma Invoice, approved specification or separate quality agreement.

No fixed aging-test duration, AQL standard or testing procedure applies unless expressly agreed in writing.

The Buyer shall inspect the products promptly after delivery.

Visible shipping damage, shortage or incorrect quantity should be reported within seven calendar days after delivery. Other readily discoverable non-conformities should be reported within fifteen calendar days.

Claims must include the applicable order information and reasonable supporting evidence, such as photographs, video or test details.

Products may not be returned without ClaraTech’s prior written authorization.

5. Price, Payment and Delivery

Prices, currency, payment terms and quotation validity are stated in the applicable quotation or Proforma Invoice.

Production begins only after the required payment and approvals have been received. Shipment may be withheld until all amounts due have been received.

Lead time is confirmed after the final configuration, material availability and order requirements have been reviewed. Delivery dates are estimates unless expressly confirmed as fixed in writing.

The applicable Incoterm, named place or port and Incoterms® version shall be stated in the Proforma Invoice.

Unless otherwise stated, references to Incoterms mean Incoterms® 2020.

Risk of loss or damage transfers according to the Incoterm stated in the Proforma Invoice.

A door-to-door freight quotation does not constitute DDP unless DDP is expressly stated in the Proforma Invoice.

Import duties, destination taxes and customs charges are borne by the Buyer unless expressly included in the Proforma Invoice.

Ownership of the products remains with the Seller until full payment has been received, to the extent permitted by applicable law.

6. Limited Warranty

Unless otherwise stated in the Proforma Invoice, the standard product warranty is twelve months from the date of shipment.

The warranty covers confirmed manufacturing defects under normal installation and operating conditions.

The warranty does not cover damage caused by:

  • Incorrect installation or power supply

  • Accident, liquid, impact or misuse

  • Inadequate ventilation or improper storage

  • Unauthorized repair, modification or disassembly

  • Buyer-supplied cabinets, wiring, software or third-party systems

  • Operation outside the approved specification

  • Transport occurring after the transfer of risk

For a confirmed warranty defect, ClaraTech may, at its reasonable option, repair the product, replace the affected product or component, provide replacement parts, issue credit or refund the price paid for the affected product.

7. Compliance and End-Product Responsibility

Certifications, declarations and test reports are supplied or arranged only when expressly included in the applicable quotation or Proforma Invoice.

ClaraTech does not represent that every product is UL-certified, GLI-certified or approved by a particular gaming regulator.

The Buyer is responsible for final system integration, installation, local import requirements, end-product certification and regulatory approval of the completed machine.

Component-level documentation does not constitute certification or approval of the Buyer’s finished equipment.

8. Intellectual Property and Confidentiality

Each party retains ownership of its pre-existing intellectual property.

Ownership of custom tooling, drawings, firmware or engineering work shall be determined by the applicable quotation or a separate written agreement.

Payment of tooling or engineering charges does not automatically transfer intellectual property ownership unless expressly agreed in writing.

The Buyer is responsible for ensuring that Buyer-supplied drawings, trademarks, software and designs do not infringe third-party rights.

Where the parties have signed a confidentiality agreement, that agreement applies. Otherwise, both parties shall use reasonable care to protect non-public technical and commercial information received for the project.

9. Limitation of Liability and Force Majeure

To the maximum extent permitted by applicable law, ClaraTech is not liable for indirect, incidental or consequential losses, including loss of profit, revenue, gaming income, production or business opportunity.

ClaraTech’s total liability arising from an order shall not exceed the amount paid for the specific affected products.

ClaraTech is not liable for delay or failure caused by events outside its reasonable control, including government action, customs delay, transportation disruption, natural disaster, labor disruption, component shortage or supplier failure caused by such events.

Nothing in these Terms excludes liability that cannot legally be excluded.

10. Governing Law and Dispute Resolution

These Terms and the applicable transaction shall be governed by the laws of the People’s Republic of China.

The United Nations Convention on Contracts for the International Sale of Goods shall not apply.

The parties shall first attempt to resolve any dispute through good-faith negotiation.

Any dispute arising from or in connection with the transaction shall be submitted to the Shenzhen Court of International Arbitration for arbitration in accordance with its rules in effect at the time of filing.

The seat of arbitration shall be Shenzhen, China. The arbitration award shall be final and binding.

Updates to these website Terms apply only to future quotations and orders unless otherwise agreed in writing.
